These Terms of Service (“Terms”) are a binding agreement between you and Sproutsy (“Sproutsy,” “we,” “us”) and govern your access to and use of the Sproutsy website, dashboard, hosted agents, and related services (together, the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
1. The Service
Sproutsy provides a hosted, always-on AI agent. Each agent runs in an isolated container on infrastructure we operate, can use tools and connected channels you authorize, and can store files and memory on your behalf. The Service depends on third-party large language model (“LLM”) providers and other upstream services; their availability and behavior are outside our control.
2. Accounts
You must provide an accurate email address and keep your credentials secure. You are responsible for all activity under your account, including activity by your agent and by any device or channel you connect to it. You must be at least 18 years old, or the age of majority in your jurisdiction, and legally able to enter into these Terms.
3. Paid service; credits and billing
Sproutsy is a paid service. Creating an account is free, but running an agent requires a positive credit balance. Usage — including model tokens, compute, and connected services — is metered and drawn down against your balance at the rates shown in your dashboard. We may change pricing prospectively; material changes will be reflected in the dashboard before they take effect.
- Prepaid credits. Credits are prepaid and are consumed as you use the Service. When your balance reaches zero, your agent is paused until you add credit.
- No guarantee of unused value. Except where required by law, credits are non-transferable and have no cash value. Refund requests are handled per Section 9.
- Taxes. Stated prices exclude taxes; you are responsible for any taxes other than those on our net income.
4. Acceptable use
You agree not to use the Service, or direct your agent, to:
- break the law or infringe others’ rights, including intellectual property and privacy;
- generate or distribute malware, spam, phishing, fraud, or content that sexually exploits minors;
- attack, overload, probe, or attempt to gain unauthorized access to any system, network, or account — ours or a third party’s;
- circumvent quotas, rate limits, billing, or access controls, or resell the Service without our written permission;
- violate the terms or acceptable-use policies of any connected channel or upstream provider (for example a messaging platform or LLM provider).
You are responsible for the instructions you give your agent and for its resulting actions. We may suspend or terminate accounts that violate this Section, and may report unlawful activity to authorities.
5. Your content
You retain ownership of the data, files, prompts, and memory you or your agent create or upload (“Your Content”). You grant us a limited license to host, process, and transmit Your Content solely to operate and improve the Service and as described in our Privacy Policy. You represent that you have the rights necessary to provide Your Content and to authorize the actions your agent performs.
6. AI output — no warranty of accuracy
Agent output is generated by probabilistic models and may be wrong, incomplete, or misleading. It is not professional advice (legal, financial, medical, or otherwise). You are responsible for reviewing output and for any action your agent takes on your instructions. Do not rely on the Service for high-stakes decisions without independent verification, and use appropriate caution before granting your agent access to sensitive accounts, funds, or systems.
7. Third-party services and channels
The Service lets your agent connect to third-party platforms and tools. Your use of those services is governed by their terms, not ours, and we are not responsible for them. You are responsible for the credentials and permissions you grant.
8. Service availability
We work to keep the Service available but do not guarantee uninterrupted or error-free operation. We may modify, suspend, or discontinue features, and may perform maintenance, with or without notice. We are not liable for downtime, data loss, or upstream provider outages, though we maintain backups as described in our Privacy Policy.
9. Cancellation, refunds, and termination
You may stop using the Service and delete your account at any time from the dashboard. Deleting your account tears down your agent and associated resources and frees your email for future re-registration; this is irreversible. We may suspend or terminate your access for violation of these Terms, suspected fraud or abuse, non-payment, or where required by law. Refund requests for unused prepaid credit may be sent to support@sproutsy.ai and are considered in good faith and as required by applicable law.
10. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW.
11. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, SPROUTSY WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, DATA, OR GOODWILL. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID US IN THE THREE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR USD $50.
12. Indemnification
You will indemnify and hold Sproutsy harmless from claims, losses, and expenses (including reasonable legal fees) arising from your use of the Service, Your Content, your agent’s actions, or your violation of these Terms or applicable law.
13. Changes to these Terms
We may update these Terms. If we make material changes, we will update the date above and, where appropriate, notify you in the dashboard or by email. Your continued use of the Service after changes take effect constitutes acceptance.
